Terms & Conditions
Last updated October 8, 2026
These Terms & Conditions (the “Terms”) govern your use of this website and any services provided by Labrina (“Labrina”, “we”, “us” or “our”). By using the website or signing a statement of work with us, you agree to these Terms. For how we handle personal data, please read our Privacy Policy.
1. Who we are
Labrina is an AI consulting and automation studio. We help small and mid-sized businesses find where AI saves time, build workflow automations and custom AI agents, and train teams to run them.
2. Our services
2.1 Engagements
We offer three types of engagement: AI strategy, workflow automation and custom AI agents. Every engagement starts with a free introductory call and is only binding once both parties sign a statement of work (“SOW”).
2.2 Statements of work
Each SOW describes the specific project and, together with these Terms, forms the agreement between us. It sets out:
the scope of work and the deliverables;
the timeline and key milestones;
the fees and payment schedule;
the named contacts on both sides.
If an SOW and these Terms conflict, the SOW takes priority for that project.
3. Using this website
You may browse and share content from this website for personal and internal business purposes. You agree not to:
copy, scrape or republish substantial parts of the website without our written permission;
attempt to gain unauthorised access to the website, our systems or other users’ data;
upload or transmit malware or any code designed to disrupt the website;
use our content to train machine learning models without our consent;
misrepresent your identity when contacting us.
4. Fees and payment
Fees are fixed per SOW and agreed before any work starts. Unless the SOW says otherwise:
strategy engagements are invoiced 50% at kickoff and 50% on delivery of the roadmap;
build projects are invoiced monthly, based on the milestones reached;
invoices are payable within 30 days of the invoice date;
prices exclude VAT and any other applicable taxes.
If the scope changes, we agree the change and any extra cost with you in writing before it is billed. Late payments may incur interest at the statutory rate.
5. Intellectual property
5.1 What you own
Once the relevant invoices are paid, you own the deliverables we create specifically for you, including workflow configurations, prompts, documentation and code. Everything runs in your accounts.
5.2 What we keep
We keep ownership of our general know-how, templates, internal tools and methods that are not specific to your business. You receive a perpetual, royalty-free licence to use any of these that are built into your deliverables.
5.3 Third-party tools
Our work often relies on third-party software and AI model providers. Your use of those tools is subject to their own terms, and you are responsible for the subscriptions held in your name.
6. Confidentiality
Both parties will keep the other’s confidential information private and use it only to perform the project. This includes business processes, customer data, pricing and anything marked as confidential. The obligation continues for three years after the project ends.
7. AI outputs and human review
AI systems can make mistakes. We design every automation and agent with this in mind, and we recommend that you:
keep a person in the loop for decisions with legal, financial or safety impact;
review outputs before they are sent to customers or published;
tell us about any errors so we can improve the system.
You remain responsible for how AI outputs are used in your business.
8. Limitation of liability
We perform our services with reasonable skill and care, but we cannot guarantee specific business results. To the extent permitted by law, our total liability under any SOW is limited to the fees paid for that SOW in the twelve months before the claim. We are not liable for indirect or consequential losses, such as lost profits or lost data.
9. Termination
Either party may end an SOW with 30 days’ written notice. You will pay for work completed up to the termination date, and we will hand over all deliverables produced so far. Either party may terminate immediately if the other materially breaches these Terms and does not fix the breach within 14 days of being notified.
10. Governing law
These Terms are governed by the laws of Ireland. Any dispute will be handled by the courts of Dublin, unless mandatory consumer law in your country says otherwise.
11. Changes to these Terms
We may update these Terms from time to time. The date at the top of this page shows when they last changed. Changes do not affect SOWs that were signed before the update.
12. Contact
